1. Purpose

These terms and conditions govern the opening and use of a store on the Djoula platform (“the Platform”) by any seller, whether a business or an individual, regardless of their country of residence. They supplement the general terms and conditions of sale, which the seller agrees to comply with in relation to their buyers. Opening a store constitutes acceptance of these terms and conditions; the date of acceptance is recorded.

2. Opening a Store and Verification

  • The seller must provide accurate and up-to-date information: store name, country of establishment, contact information, and, if the seller is a business, its legal identification.
  • An identity verification (identification document of the person in charge and, if applicable, a copy of the business registration) is mandatory for stores based outside of Guinea before any items can be listed for sale. It is optional for other stores and entitles the store to the “Verified” badge. Documents are kept confidential and accessed only by the Djoula team.
  • Djoula may accept or reject a store, request additional supporting documents at any time, and suspend or close a store in the cases provided for in Article 12.
  • The seller account is personal: the seller is responsible for all actions taken through their account.

3. Product Listings

The seller guarantees that they are authorized to sell the products offered and that their listings are accurate and complete: title, description, condition (new or used), actual photos, price including tax, stock, weight, and important features. The seller must update their inventory to prevent the sale of unavailable products. For downloadable products, the seller warrants that they hold the distribution rights to the file and that the file is free of viruses.

4. Prohibited Products

The following items, in particular, are prohibited from sale on Djoula:

  • weapons, ammunition, explosives, and their components;
  • drugs, narcotics, prescription medications, and unauthorized pharmaceutical products;
  • counterfeit goods, copies, and products that infringe on the intellectual property rights of others;
  • stolen goods or goods of illicit origin;
  • protected animal and plant species, and products derived from them;
  • pornographic content, or content that incites hatred, violence, or discrimination;
  • official documents, forged documents, personal data, or accounts;
  • dangerous products, recalled products, or products that do not comply with safety standards;
  • any product whose sale or export is prohibited in the seller’s country or in the country of delivery.

Djoula may remove any prohibited or misleading product without prior notice.

5. Prices and Taxes

The seller is free to set their own prices, which are displayed inclusive of all taxes. The seller is solely responsible for their tax and social security obligations in their country (reporting of revenue, VAT, or equivalent taxes). When Djoula applies a tax based on the seller’s country, it appears on the buyer’s invoice.

6. Orders and Shipping

  • The seller defines their shipping options: price, estimated delivery time, countries served, and, if applicable, a pricing scale based on package weight and insurance. Shipping costs are paid by the buyer once per seller.
  • The seller prepares and ships each paid order within the stated timeframe, packaged to protect the product, and enters the tracking number when available.
  • For international shipments, the seller completes the export formalities (customs declaration, accurate description and value of the contents).
  • If the seller is unable to fulfill an order, they must cancel it promptly and notify the buyer; repeated cancellations may result in suspension.
  • They respond to messages from buyers within a reasonable time, ideally within 48 hours.

7. Returns, Refunds, and Disputes

The seller accepts requests to return physical items made within 30 days of delivery, in accordance with the return policy. The seller is responsible for return shipping costs when the product is defective, damaged, non-compliant, or incorrect. The seller is responsible for refunding cash-on-delivery purchases.

In the event of a dispute, the seller shall cooperate in good faith with Djoula and provide the requested supporting documentation (proof of shipment, tracking information, photos). If the buyer’s claim is valid, Djoula may refund the buyer and deduct this amount from the sums owed to the seller.

8. Commission

For each sale, Djoula collects a commission calculated based on the price of the items, at the rate displayed in the seller’s dashboard. Shipping and insurance fees paid online are remitted to the seller without commission. Any change to the rate will be announced in advance and applies to sales concluded after it takes effect.

9. Payments to the Seller

  • For sales paid for online, Djoula collects the buyer’s payment on behalf of the seller. The seller may request payment of their available balance (item price minus commission, plus shipping) from their seller dashboard.
  • The payment is made to the payment details registered by the seller (mobile money or bank account), in the selected currency, at the current exchange rate. The seller is responsible for the accuracy of these details.
  • International transfer fees (for accounts located outside Guinea) are the seller’s responsibility and are deducted from the payment; the amount is displayed before the request is submitted.
  • Djoula processes requests as quickly as possible. It may withhold a payment in the event of an ongoing dispute, an uncompleted identity verification, or suspected fraud.
  • For sales paid upon delivery, the seller collects payment directly from the buyer.

10. Communication with Buyers

Communication with buyers takes place via the Platform’s messaging system. It is prohibited to divert a buyer to a sale outside of Djoula, to request direct payment from a buyer for an order placed online, or to use the buyer’s contact information for any purpose other than fulfilling the order. The seller must protect the personal data of buyers that is provided to them.

11. Reviews

The seller does not post reviews of their own products, does not offer any compensation in exchange for a review, and does not pressure a buyer to modify or remove a review.

12. Suspension and Closure

Djoula may issue a warning, suspend, or close a store, and remove products, particularly in the event of: inaccurate information or documents, prohibited or counterfeit products, a high rate of cancellations, delays, or complaints, fraud, circumvention of the Platform, or a breach of these terms and conditions. Unless it is an emergency, the seller will be notified of the reason and may submit their comments.

The seller may close their store at any time, after processing all pending orders and returns. Any amounts still owed to them will be paid, net of any refunds and pending disputes.

13. Liability

The seller is solely responsible for the products they sell, their compliance, and their safety, as well as for compliance with the laws of their country and the countries of delivery. They indemnify Djoula against any claim by a buyer or a third party related to their products or business activities. Djoula provides the Platform without any guarantee of revenue.

14. Governing Law and Amendments

These terms and conditions are governed by the laws of the Republic of Guinea. In the absence of an amicable agreement, any dispute shall be subject to the jurisdiction of the competent courts of Conakry. Djoula may amend these terms and conditions; sellers will be notified prior to their entry into force, and continued use of the Platform constitutes acceptance.
